Small businesses utilize several key agreements when teaming together in pursuit of large federal government contracts. Teaming arrangements with trusted and vetted partners can increase resources, performance capabilities, capacity and competitive eligibility for contract awards. Small businesses who understand these agreements, corresponding regulations, and negotiation strategies will know how to use each agreement to get their best deal, can increase work-share & profits, get paid faster and gain an advantage when competing for new federal contract opportunities.

 

This masterclass will discuss best practices for structuring pursuit teams, provide insight into what the other side is thinking along with SBA/FAR requirements and will also provide key considerations for negotiating Nondisclosure Agreements, Teaming Agreements, Subcontracts, Contractor Teaming Arrangements (“CTA”), and Joint Venture Operating Agreements. Topics will include:

 

  • Pre-agreement due diligence, reference requests, and pre-existing prime/subcontract relationships, and other options for selecting trustworthy teammates.
  • Strategies for negotiating binding and non-binding memoranda of intent along with letters of intent when a future deal-based relationship is anticipated.
  • Strategies for negotiating nondisclosure agreements (“NDA”) that do not simply protect confidential information but also allow for open key personnel proposal information exchanges and allowing for non-exclusive relationships depending on the circumstances.
  • Strategies for negotiating teaming agreements and forum selection increasing the likelihood that a teaming agreement term may be enforced along with being less likely to be a basis for bid protests.
  • Strategies for negotiating binding subcontract terms on a rapid, good faith basis upon the award of the prime contract to the team whether as prime or subcontractor and for complying with FAR-Flow Downs.
  • Strategies for negotiating favorable CTA terms regardless of whether your company is the prime or a de facto rotating prime contractor along with contractual performance and any applicable fee-splitting requirements.
  • Strategies for negotiating advanced teaming arrangements in the form of joint ventures allowing for increased performance capacity, capabilities and experience required for certain large and set-aside awards.
  • Strategies for compliance with SBA/FAR regulations along with both pre- and post-award dispute resolution negotiation in lieu of formal arbitration and/or litigation.
